Sam Smart

Sam Smart is an Associate in the Investment Funds and Asset Management team at Dentons in Edinburgh, specialising in capital markets law, investment funds, and corporate advisory. He advises on large corporate transactions involving both private and listed funds, drafting core fund documentation for high‑value funds operating in established and emerging markets.

Sam has advised Nederlandse Financierings‑Maatschappij voor Ontwikkelingslanden (FMO) on its investment activities; a specialist emerging markets asset manager on the restructuring of one of its funds to account for an investor becoming subject to recent sanctions restrictions; a Shari'a‑compliant challenger bank on its internal restructuring of its build‑to‑rent group; and investment trusts on the FCA's regulatory reforms pertaining to Consumer Duty and Financial Promotions. He also regularly provides general corporate and regulatory advice to both private and listed companies.

Sam holds an LL.B from the University of Edinburgh (2019) and a Diploma in Professional Legal Practice from the University of Edinburgh (2020). He was admitted as a Solicitor in Scotland in 2022.
